Reduck Terms of Service
Version Effective Date: April 8, 2026
These Terms of Service ("Contract") govern your use of Reduck, provided by Conception AI Inc., a Delaware corporation, at 2261 Market Street STE 85701, San Francisco, CA 94114 ("Reduck," "We," "Us"). By accessing or using Reduck, you accept this Contract.
Definitions
Account: means the personalized user account required to access and use the Services.
Actions: operations, steps, or transactions executed by Automation Flows, including screenshots and content of websites visited.
Reduck Agent: means the program powered by artificial intelligence models provided by Reduck that perceives inputs, such as text, csv files or code and acts with a certain degree of autonomy within defined boundaries to achieve specified goals, modifying its environment accordingly.
Automation Flow ("Flow"): is a sequence of automated actions executed in your browser per your instructions, via Reduck's browser extension or CLI tool.
Browser Extension: means the software component installed within a User's web browser that enables access to the Services and allows the execution of Automation Flows directly within the browser environment.
Cache (or Cached Patterns): automation patterns derived from successful Flow executions stored to optimize performance.
CLI: the Reduck command-line tool that enables users to execute Automation Flows from their terminal equipment.
Conception AI, Reduck, we, us: means Conception AI Inc., a Delaware corporation, at 2261 Market Street STE 85701, San Francisco, CA 94114, the company providing you access to the Services.
Confidential Information: means any non-public, proprietary, or confidential information disclosed or made available by one Party to the other, in any form or medium, in connection with the Services, including but not limited to technical, operational, commercial, or product-related information, documentation, data, know-how, trade secrets, and Feedback, as well as any information relating to the design, functionality, performance, or use of the Services.
Contract: means these terms, together with any applicable policies and any subscription plan or order agreed by the Parties, forming the entire agreement governing your access to and use of the Services.
Credits: the virtual currency used to pay for Flow executions.
Feedback: means any comment whether written or oral you provide us regarding the precision, relevance, or performance of the particular Inputs, Automation Flows or Outputs of the Reduck Agent including noted inconsistencies or mistakes or any other general comment on our Services.
Input: any data, file, document, or content you provide to the Automation Flows, including natural language prompts, CSV files, configuration parameters, website credentials, target URLs, and workflow instructions.
Intellectual Property Rights, IPR: means all intellectual property rights throughout the world, whether existing under statute or at common law or equity, now or hereafter in force or recognised, including rights in and to: (a) patents, patent disclosures, inventions (whether patentable or not); (b) trademarks, service marks, business names, domain names, rights in get-up and trade dress, logos, goodwill and the right to sue for passing off or unfair competition; (c) copyright and neighbouring and related rights, designs, computer software, database rights, moral rights, utility models; (d) to use, and protect the confidentiality of, confidential information (including know-how and trade secrets); and (e) all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.
MCP Integration: integration with Model Context Protocol servers that enable Reduck to interact with external services and APIs, or that enable third-party applications and AI agents to access Reduck's capabilities as an MCP server.
Output: results produced by Automation Flows, including downloaded files, extracted data, execution logs, error notifications, and any other results generated by Flow executions.
Parties: means the collective reference to you and Reduck, as defined in this Contract.
SDK: the Reduck developer toolkit that enables third-party applications, AI agents, and automation frameworks to programmatically access the Services and execute Automation Flows through Reduck's infrastructure.
Services: means the browser automation services made available by Reduck, including via the Browser Extension, CLI, SDK, MCP Integration, website and related features, as updated from time to time.
Third-Party Agent: any software, AI agent, automation framework, or application that (i) is not developed, owned, or operated by Conception AI, (ii) accesses or interacts with the Services programmatically through the SDK or MCP Integration, and (iii) operates under the authorization and responsibility of a User's Account, whether acting on direct user instruction or autonomously within the scope of permissions granted by that User.
You, User: means the person, whether a natural or legal person, accessing and using the Services provided by Reduck under this Contract.
Services
Reduck is a browser automation tool that enables Users to design and execute Automation Flows through a browser extension or CLI, allowing an Agent to perform Actions such as navigating websites, extracting data, and completing repetitive tasks based on provided Inputs. These Automation Flows operate within the User's active browser session and may leverage existing authentication contexts, meaning all Actions performed are executed in the User's name and are fully attributable to the User. As a result, Users are responsible for supervising Flow execution, validating Outputs, and ensuring that their use of the Services complies with applicable laws and third-party terms. Given that the Services are in beta, Automation Flows may produce errors, unexpected results, or unintended executions; Users must therefore exercise caution, avoid unattended or high-risk use cases, and use the tool in a controlled and responsible manner.
SDK and Extension Installation
Installation of our Browser Extension or CLI tool on your device requires downloading and installing the software through the appropriate distribution channel, such as a supported web browser store for the extension or a terminal-based installation process for the CLI. The Browser Extension operates within your web browser environment, while the CLI runs locally on your machine, enabling you to execute Automation Flows directly from your terminal equipment. You are responsible for ensuring that the installation is performed on a compatible device and kept up to date to maintain proper functionality of the Services.
Caching
Successful Flow executions may be stored as Cached Patterns to optimize future similar tasks. You may opt out of contributing your patterns to the shared Cache.
Browser Control and SSO
When a Flow runs, Reduck acts in your name using your active browser session, including all authentication tokens present. All actions performed by Flows are legally attributed to you. Because your session may contain tokens for multiple services linked via Single Sign-On, a Flow may access connected services beyond what you explicitly intended. Reduck can take screenshots during execution; recordings may capture any visible content and can be stored for debugging and platform improvement. We do not store your website credentials on our servers.
Website
Reduck.ai is accessible without an Account. All site content is owned by Conception AI Inc. you may not reproduce or create derivative works without prior written consent.
Creating an Account
To access Reduck, you must create an Account and provide accurate, complete information. If you create an Account on behalf of an entity, you must have authority to bind that entity to this Contract. You must be at least 18 years old.
You are responsible for maintaining the confidentiality of your credentials and for all activities under your Account. Use a strong, unique password, enable two-factor authentication when available, and notify us immediately at support@reduck.ai of any unauthorized access or security breach.
Subscriptions and Payment
Plans, pricing, and Credit allocations are available at reduck.ai/pricing and subject to change. Certain free plans or trial offerings may be made available at Reduck's discretion. All fees are in U.S. dollars, exclusive of taxes. By subscribing, you authorize recurring charges to your payment method without prior approval per cycle; you may cancel at any time through your Account settings.
All sales tax such as VAT, or other similar governmental charges shall be borne by you. You agree to indemnify and hold us harmless for any such taxes, duties, or charges arising from this Contract.
Credits may be purchased by you to enable the execution of Automation Flows within the Services. Credits constitute a limited, non-transferable right to access and use specific functionalities of the Services and have no monetary value outside of such use. Credits are non-refundable, except where required by applicable law, and may only be used on Reduck to execute Automation Flows in accordance with this Contract.
We reserve the right to modify the fees at any time. Any such modification will be communicated to you at least thirty (30) days before its entry into force. If you do not agree with the revised fees, you may terminate the Contract in your Account before the end of the thirty (30)-day notice period. If no such written notice of termination is provided within this period, the revised fees shall be deemed tacitly accepted, and the Contract will continue under the new fee structure.
Payments are processed by third-party processors; We are not responsible for their errors. No refunds are provided for unused credits or partial billing periods. You are responsible for providing and maintaining at all times correct and valid payment information.
Intellectual Property
Reduck Protected Elements
All Intellectual Property Rights in and to the Services, including the software, Browser Extension, CLI, SDK, Agents, underlying models, interfaces, documentation, and any related materials or improvements (collectively, the "Reduck Protected Elements"), are and shall remain the exclusive property of Conception AI Inc and its affiliates. Subject to compliance with this Contract, Reduck grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Reduck Protected Elements solely for the duration of the Contract and strictly for your internal or personal use of the Services. No ownership rights are transferred to you, and all rights not expressly granted are reserved by Reduck.
User Elements
"User Elements" means all Inputs, data, content, files, configurations, credentials, instructions, and any other materials provided, submitted, or made available by you in connection with the use of the Services, as well as any Outputs generated from such Inputs, to the extent they are derived from or incorporate your content. To the extent that such User Elements are eligible for protection under applicable Intellectual Property laws, you retain all Intellectual Property Rights therein. You hereby grant Reduck a worldwide, non-exclusive, sublicensable to its affiliates, royalty-free license, for the duration of the Contract, to use, host, process, reproduce, and analyze the User Elements solely for the purposes of providing, operating, maintaining, and improving the Services.
In particular, Reduck may use information derived from the execution of Automation Flows, including Actions, execution logs, and Outputs, to develop and refine Cached Patterns ("Cache"). The Cache consists of generalized automation patterns extracted from successful Flow executions and is used to optimize performance, reliability, and efficiency of future Flows. Such Cached Patterns do not aim to reproduce User-specific content but rather to capture reusable operational logic. To the extent that any User Elements are incorporated into the Cache, they are processed in a manner designed to remove or abstract identifiable or sensitive information where appropriate.
Your Use of the Services
Prohibited Uses
You shall not:
- Violate any applicable law or third-party rights
- Access computer systems without authorization or circumvent security measures
- Collect or process sensitive personal data (health, financial, government IDs) without proper authorization
- Send spam, distribute malware, or engage in fraud or phishing
- Reverse engineer, decompile, or disassemble the Services
- Overburden or interfere with our systems or networks
- Sell, rent, or sublicense access to the Services
- Scrape third-party websites in violation of their terms, or bypass rate limits, paywalls, or robots.txt directives
- Create multiple Accounts to circumvent restrictions
- Access other users' Accounts or data without authorization
- Transmit harmful code, viruses, or malicious software through the Services
- Attempt unauthorized access to Our systems, networks, or infrastructure
High-Risk Use Cases
Third-Party Websites
You are solely responsible for complying with the terms of service and policies of third-party websites you access through the Services, and for ensuring you have the legal right to automate interactions with them. Reduck is a general-purpose automation tool; any use that violates a third party's terms of service, robots.txt directives, or applicable law is your sole responsibility. We are not liable for any claims arising from your automated interactions with third-party websites.
Third-Party AI Agents
Reduck may be used with third-party AI agents or orchestration frameworks ("Third-Party Agents"), such as NanoClaw, OpenClaw, or similar tools, that issue instructions to Reduck on your behalf.
The SDK and MCP Integration enable you and authorized Third-Party Agents to programmatically access and interact with the Services. Your use of the SDK and MCP Integration is subject to this Contract and any additional technical documentation, guidelines, or usage policies made available by Reduck from time to time.
You agree to use the SDK and MCP Integration in a manner that is secure, compliant with applicable laws, and consistent with the intended use of the Services. You shall not (i) exceed any usage limits, rate limits, or quotas communicated by Reduck, (ii) attempt to circumvent technical restrictions or access controls, (iii) introduce security vulnerabilities, malicious code, or unauthorized access mechanisms, or (iv) use the SDK or MCP Integration in a way that could impair, disrupt, or degrade the performance or integrity of the Services.
You acknowledge that the SDK and MCP Integration may depend on third-party services, APIs, or infrastructure that are outside of Reduck's control. Reduck shall not be responsible for any failure, delay, or limitation resulting from such third-party dependencies.
Reduck may modify, update, suspend, or discontinue the SDK or MCP Integration, including by introducing breaking changes, at any time. Where reasonably practicable, Reduck will provide notice of material changes through its documentation or developer channels. You are responsible for ensuring that your implementations remain compatible with the current versions of the SDK and MCP Integration.
Reduck may monitor usage of the SDK and MCP Integration to ensure compliance with this Contract and may suspend or restrict access in the event of misuse, excessive consumption of resources, or security concerns.
Reduck executes actions based solely on the instructions it receives and has no visibility into the internal logic or state of any Third-Party Agent. You are solely responsible for all actions Reduck takes as a result of instructions issued by a Third-Party Agent you have authorized, including failures caused by bugs, misconfiguration, prompt injection, or model hallucination.
Reduck does not endorse or warrant the reliability of any Third-Party Agent. You agree to indemnify Conception AI Inc. from any claims arising from Third-Party Agent use, including Actions Reduck executed in good faith on that agent's instructions.
Contract Duration and Termination
This Contract is concluded for a fixed term corresponding to the subscription period associated with the plan selected by you. It will automatically renew for successive periods of the same duration unless terminated in accordance with this Contract. We may suspend or terminate your Account immediately, without prior notice, if you violate this Contract, pose a security or legal risk, engage in fraudulent or harmful behavior, or if required by law. In the event of termination for cause, no refund will be provided for any unused portion of the current subscription period.
Disclaimers and Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or produce accurate results. You acknowledge and agree that artificial intelligence, machine learning and Agents are evolving fields, and as a result, Outputs and Automation Flows generated by our Services may not always be accurate, complete, up-to-date, or free from errors. The nature of AI models means that Outputs and Automation Flows depend on the Inputs you provide, and the underlying technology may introduce unpredictability. Given these inherent limitations, you agree to evaluate Output and Actions accuracy and exercise human review on Outputs.
Our Services do not guarantee the accuracy, safety, or appropriateness of Outputs or Automation Flows under all circumstances, and we disclaim any liability arising from reliance on Outputs or Automation Flows. Outputs or Automation Flows do not represent our views, and if they reference third-party products or services, such references do not imply endorsement or affiliation.
Due to the experimental nature of our Services, including the Browser extension, Flows may occasionally execute unintentionally as a result of technical errors. While we work to prevent such occurrences, you remain responsible for actions initiated through your Account. To minimize risk, we recommend disabling or uninstalling the extension when not actively using it, or using a dedicated browser profile for Reduck. Reduck shall use commercially reasonable efforts to prevent unintended executions and will promptly notify affected users when such events are detected.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONCEPTION AI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING BUT NOT LIMITED LOSS OF REVENUES OR PROFITS ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES AND MORE GENERALLY THE PERFORMANCE OF THIS CONTRACT. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES PAID IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) $100 USD. THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Indemnification
You agree to indemnify, defend, and hold harmless Conception AI Inc., and our officers, directors, employees, and affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use or misuse of the Services, your violation of this Contract, your violation of any third-party rights or applicable laws, any Flows you create or execute, or any Input you submit through the Services.
Subcontractors
We may appoint subcontractors to perform any of our obligations under this Contract without your prior authorization. We shall remain responsible for the overall delivery of our obligations under this Contract, as if those obligations were performed by us.
Confidentiality
Each Party agrees to keep strictly confidential, during the term of the Contract and for a period of ten (10) years from the termination or expiration of the last Contract concluded between the Parties, any non-public, proprietary, or confidential information disclosed or made available by the other Party in connection with the Services (the "Confidential Information"). Confidential Information includes, without limitation, any information relating to the technical, operational, or functional aspects of the Services, as well as any Feedback, performance data, documentation, product plans, or information regarding the design, architecture, or capabilities of the Services.
The receiving Party shall use Confidential Information solely for the purpose of performing its obligations under the Contract and shall not disclose such information to any third party without the prior written consent of the disclosing Party, except to its employees, contractors, or advisors who have a strict need to know and are bound by confidentiality obligations no less protective than those set forth herein.
The obligations set forth in this clause shall not apply to information that (i) is or becomes publicly available without breach of this Contract, (ii) was lawfully known to the receiving Party prior to disclosure, (iii) is independently developed without use of or reference to the Confidential Information, or (iv) is lawfully obtained from a third party without restriction. In the event disclosure is required by law or a competent authority, the receiving Party shall, to the extent legally permitted, promptly notify the disclosing Party and limit disclosure to what is strictly necessary.
Upon termination of the Contract or upon written request, the receiving Party shall, at the disclosing Party's option, return or delete the Confidential Information, except where retention is required by applicable law, subject in all cases to the confidentiality obligations set forth herein.
Data Protection
For the processing of your personal data that we may conduct as a data controller, please visit our Privacy Policy available at reduck.ai/privacy-policy.
You are responsible for processing personal data relating to third parties through the Services, and must exercise extreme caution while doing so given the legal and regulatory obligations that may apply. You must have all rights and authorizations to submit such personal data. Failure to do so may result in suspension of access to the Services and termination of the Contract.
Governing Law and Dispute Resolution
This Contract is governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved exclusively in state or federal courts in Delaware, and you consent to their jurisdiction. We may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property.
Changes to the Contract
We may modify this Contract at any time. We will notify you of material changes by email to the address associated with your Account at least thirty (30) days before the effective date. Updated Contracts will also be posted at reduck.ai. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Services.
Miscellaneous
Severability: If any provision is held invalid, the remaining provisions continue in full force. Failure to enforce any right does not constitute a waiver. This Contract, together with our Privacy Policy and any incorporated agreements, constitute the entire agreement between you and us.
Assignment: You may not assign this Contract without our written consent; We may assign without restriction.
Relationship between the Parties: The Parties are independent contractors, and nothing in this Contract shall be construed to create any partnership, joint venture, agency, or employment relationship between them. Neither Party shall have the authority to bind or obligate the other in any manner except as explicitly stated in this Contract. Each Party is solely responsible for its own actions and omissions.
Survival: Notwithstanding the termination or expiry or all or part of the Contract, it is agreed that the provisions that are intended by their nature to survive termination will survive and continue in full force and effect in accordance with their terms.
Force Majeure: Neither party shall be liable for any delay or failure to perform its obligations under this Contract where such delay or failure results from Force Majeure Events, including but not limited to natural disasters, government actions, pandemics, strikes, third-party service outages, or infrastructure failures beyond a party's reasonable control. The affected party shall notify the other party promptly and use commercially reasonable efforts to resume performance.
